Terms & Conditions

These terms apply to work commissioned from Wayout Design ("we", "us"), Jaipur, Rajasthan, India, whether through this website, by email, or in person. Placing an order or accepting a quote means you accept them.

1. Two kinds of work

Studio services (branding, design, photography, print management, film) are bespoke. Each project is defined by a written quote or proposal that states the scope, deliverables, timeline and price. Where these terms and a signed proposal differ, the proposal wins for that project.

Signature Series is a fixed-price product: premium business cards designed by the studio and printed and delivered to you. Section 7 applies to it specifically.

2. Quotes and payment

• Quotes are valid for [30] days.
• Studio projects require an advance of [50%] before work starts, with the balance due on delivery of final files or, for photography and film, before the release of edited material. [Adjust to your practice.]
• Invoices are payable within [7] days. Indian clients are invoiced in INR with GST. International clients are invoiced in USD; bank charges on international transfers are borne by the client.
• Work may pause on overdue accounts, and final files are released only when the account is settled.

3. Scope, revisions and changes

Each proposal states the number of concept directions and revision rounds included. Revisions beyond those, or changes to the brief after a direction has been approved, are quoted separately before we proceed. A revision is a refinement of approved work; a change of direction is a new brief.

4. Your responsibilities

You are responsible for the accuracy of all text, names, numbers and addresses you supply, for having the right to use any logos, images, fonts or content you give us, and for approving proofs before print. Once you approve a proof, errors in that proof are yours to bear, including the cost of any reprint.

5. Print management

We are not a printer. We manage production through vetted print partners on your behalf. We check proofs and follow the job to delivery. Print is a physical process: small variations in colour between screen, proof and finished stock are normal and are not defects. Quantities may vary by up to [5%] of the ordered run, which is standard industry practice. If a delivered job is defective through a fault of ours or our partner's, we reprint it; we do not offer cash refunds on print.

6. Photography and film

Shoot dates are confirmed on receipt of the advance. Rescheduling by the client with less than [48 hours'] notice may incur a fee. Weather, venue access and third-party restrictions outside our control are not grounds for a refund but will be rescheduled where possible. Raw footage and unedited photographs are not deliverables unless the proposal says so.

7. Signature Series

• The price shown on the Signature Series page is a one-time payment in USD for international customers, taken in full before the order form opens. Indian customers are invoiced separately in INR.
• After payment you complete the order form with your card details and files. We design your card and send you a proof for approval. Printing begins only after your written approval.
• Delivery times depend on your country and courier. You will receive a tracking reference on dispatch. Customs duties or import taxes in your country, if any, are yours to pay.
• Refunds for Signature Series are governed by the Refund Policy.

8. Intellectual property

Until the account is paid in full, all work remains our property. On full payment, you own the final approved deliverables and may use them without restriction for the purpose commissioned. We keep the right to show the finished work in our portfolio, on our website and in our social media, unless you ask us in writing not to. Working files, unused concepts and rejected directions remain ours. Fonts, stock images and third-party assets are licensed to you under their own terms, which we will identify.

9. Confidentiality

We keep your business information confidential and expect the same of our partners. We will not announce a project before you have.

10. Cancellation

You may cancel a studio project at any time in writing. Work completed to that point is invoiced at the agreed rate, and the advance is not refundable once work has started. We may cancel a project if the account is more than [30] days overdue or if the working relationship has broken down, in which case work completed is invoiced and any unearned advance is returned.

11. Liability

Our total liability on any project is limited to the amount you paid us for it. We are not liable for indirect losses such as lost profit, lost business or reputational harm, or for delays caused by events outside our control. Nothing here limits liability that cannot be limited by law.

12. Governing law

These terms are governed by the laws of India. Disputes are subject to the courts of Jaipur, Rajasthan. Before either side goes to court, we agree to try to resolve the matter by discussion within 30 days.
