1. Introduction

Welcome to Wayout Design (“Proprietor/Company”, “we”, “our”, or “us”). These Terms & Conditions govern your access to and use of our website, products and services. By accessing our website, requesting a quotation, placing an order, making payment or using any of our services, you acknowledge that you have read, understood and agreed to be legally bound by these Terms & Conditions. These Terms apply to all individuals, businesses, organizations and international customers using any product or service offered by Wayout Design.

3. Eligibility

By using our website or engaging our services, you confirm that:
  • You are legally capable of entering into a binding agreement.
  • All information provided by you is accurate and complete.
  • You have authority to act on behalf of any business or organization you represent.
  • Your use of our services complies with the laws applicable in your jurisdiction.

4. Quotations & Orders

  • All quotations remain valid only for the period specified in the quotation unless otherwise stated.
  • Prices may change without prior notice until payment has been successfully received.
  • An order shall be considered confirmed only after acceptance by Wayout Design and successful payment verification.
  • Wayout Design reserves the right to refuse, suspend or cancel any order at its sole discretion before commencement of work.
  • Project timelines begin only after receipt of all required information, files, approvals and applicable payments.

5. Pricing & Payment

  • Unless otherwise agreed in writing, applicable services and custom projects require advance payment before work begins.
  • Payment milestones for larger projects shall be communicated separately in the approved quotation or proposal.
  • Prices are exclusive of applicable taxes unless specifically mentioned.
  • Bank charges, currency conversion charges, international remittance fees, payment gateway charges and similar transaction costs shall be borne by the customer wherever applicable.
  • Wayout Design reserves the right to suspend, delay or refuse commencement of any project until payment has been successfully received and verified.

Payment Gateway

Payments may be processed through third-party payment providers including, but not limited to, Razorpay, PayPal, banks, UPI platforms and other authorized payment gateways. These payment providers operate independently of Wayout Design. Accordingly, Wayout Design does not control or manage their payment infrastructure.
  • We do not store customers’ debit card, credit card or banking credentials.
  • We shall not be responsible for payment failures, declined transactions, duplicate debits, banking errors, settlement delays, payment gateway downtime, fraud detection holds, chargebacks, technical issues or interruptions caused by banks or third-party payment providers.
  • Any payment-related dispute must be resolved directly with the respective payment provider or financial institution.
  • An order shall be considered confirmed only after successful payment verification by Wayout Design.
  • If payment remains pending, fails or is reversed, Wayout Design reserves the right to suspend, cancel or withhold the related order or service.

6. Scope of Work

Our responsibilities are limited strictly to the scope mentioned in the approved quotation, proposal, invoice, work order or written communication. Any additional work requested beyond the agreed scope shall be treated as a separate service and may attract additional charges. Any changes requested after project approval or commencement may affect timelines and pricing.

7. Client Responsibilities

The client agrees to:
  • Provide complete and accurate information.
  • Submit all required files, content and materials in a timely manner.
  • Review all proofs, previews and deliverables carefully before approval.
  • Respond to approval requests within a reasonable time.
  • Maintain backups of important files supplied to Wayout Design.
  • Cooperate throughout the project for timely completion.
Delays caused by incomplete information, late approvals or lack of communication from the client may result in revised delivery schedules.

8. Artwork, Content & Design Approval

Clients are solely responsible for verifying every detail contained in the artwork before providing approval. This includes, but is not limited to:
  • Names
  • Designations
  • Addresses
  • Phone Numbers
  • Email Addresses
  • QR Codes
  • Logos
  • Images
  • Website URLs
  • Social Media Handles
  • Product Information
  • Spellings
  • Grammar
  • Overall Layout
Once artwork or digital proofs have been approved by the client, Wayout Design shall not be responsible for any customer-approved errors, omissions or inaccuracies. Any redesign, correction or reprinting required due to customer approved errors shall be chargeable.
 

10. Design Ownership

  • All concepts, drafts, layouts and creative proposals remain the intellectual property of Wayout Design until full payment has been received.
  • Unused concepts presented during the creative process remain the exclusive property of Wayout Design.
  • Source files (AI, PSD, INDD, Figma, etc.) are not included unless specifically mentioned in the approved quotation or invoice.
  • Upon full payment, the client receives usage rights only for the final approved deliverables, unless otherwise agreed in writing.

11. Printing Services

Commercial printing involves mechanical and industrial manufacturing processes. Minor variations are considered normal and accepted within the printing industry.
  • Colours displayed on digital screens may differ from printed output.
  • Minor colour variations between print batches may occur.
  • Paper texture and finish may vary slightly.
  • Minor trimming and cutting tolerances are industry standard.
  • Foil, UV coating, embossing, debossing, die-cutting and lamination may have slight positional variations.
  • Exact colour matching cannot be guaranteed unless specifically agreed in writing.
Such variations shall not be treated as manufacturing defects and shall not qualify for refunds or free reprints.

12. Signature Series Products

Signature Series is a premium business card product line developed, owned and operated by Wayout Design.
  • Each Signature Series order is manufactured exclusively for the customer.
  • Production begins only after payment confirmation and receipt of all required information.
  • Once production has commenced, orders cannot be cancelled by Indian or international customers.
  • Customer-approved artwork shall be considered final authorization for production.
  • Minor manufacturing tolerances shall not be treated as defects.

13. Website Development & Digital Services

Wayout Design provides website development, branding, digital marketing, SEO, advertising, consultancy and related digital services. Due to the dynamic nature of digital platforms:
  • Search engine rankings cannot be guaranteed.
  • Lead generation and business growth cannot be guaranteed.
  • Social media reach and engagement depend upon platform algorithms.
  • Advertising performance depends upon market conditions, audience behaviour and platform policies.
  • Third-party software updates may affect website functionality over time.
Consultancy provided by Wayout Design represents professional opinion and strategic recommendations. Business success ultimately depends upon numerous external factors beyond our control.

14. Third-Party Services

Certain services depend upon independent third-party providers, including but not limited to:
  • Domain Registrars
  • Hosting Providers
  • Payment Gateways
  • Courier & Logistics Companies
  • Email Service Providers
  • SMS Providers
  • Cloud Platforms
  • Search Engines
  • Social Media Platforms
  • Plugin Developers
  • Software Vendors
  • API Providers
Wayout Design shall not be responsible for outages, downtime, delays, security incidents, policy changes, technical failures, suspension of services or any loss arising from third-party providers.

15. Shipping & Delivery

Delivery timelines are estimates only and may vary depending upon production schedules and logistics.
  • Shipping is handled through independent courier and logistics providers.
  • Wayout Design shall not be liable for courier delays, transit damage beyond carrier liability, customs delays, weather conditions, strikes, transportation disruptions or other circumstances beyond our reasonable control.
  • The customer is responsible for providing complete and accurate delivery information.
  • Additional shipping charges may apply for returned, refused or undeliverable shipments due to incorrect customer information.

16. International Orders

Wayout Design serves customers worldwide. International customers agree that:
  • Import duties, VAT, GST, customs charges, brokerage fees and local taxes are the customer’s responsibility.
  • Customers must comply with the import regulations of their respective countries.
  • Wayout Design shall not be responsible for customs inspections, clearance delays, confiscation, import restrictions or additional government charges imposed outside India.
  • Currency exchange rates are determined by financial institutions and payment providers.

17. Project Delay & Abandonment

Clients are expected to provide all required content, approvals, documents, credentials and feedback within a reasonable time to ensure smooth project execution.
  • Delays caused by the client may result in revised project timelines.
  • If a client remains unresponsive for sixty (60) consecutive calendar days, the project may be considered abandoned at the sole discretion of Wayout Design.
  • Reactivation of an abandoned project may require a reactivation fee, revised pricing and a revised delivery schedule.
  • Payments already made shall remain non-refundable.
  • Outstanding invoices shall remain payable irrespective of project status.

18. Revision Policy

  • Revision limits, if any, shall be as specified in the approved quotation or proposal.
  • Requests exceeding the agreed revision limit shall be treated as additional work and charged accordingly.
  • Any change in project scope, design direction or approved concept may require a revised quotation.

19. Client Communication & Approvals

To avoid misunderstandings, Wayout Design accepts approvals through officially recognized communication channels only.
  • Email
  • WhatsApp
  • Project Management Systems
  • Client Portal
  • Any other written communication officially accepted by Wayout Design.
Verbal conversations, phone calls or informal discussions shall not be considered final approvals unless confirmed in writing.

20. Confidentiality

Wayout Design shall make reasonable efforts to maintain the confidentiality of information shared by clients. Confidential information shall not be disclosed except:
  • where disclosure is required by law;
  • where the information is already publicly available;
  • where disclosure is necessary for project execution; or
  • where the client has provided written consent.

21. Portfolio & Promotional Rights

Unless otherwise restricted through a signed Non-Disclosure Agreement (NDA), Wayout Design reserves the right to display completed work, designs, branding, websites, printed products, packaging, advertising material and related project samples within its portfolio, website, social media platforms, presentations, exhibitions and marketing materials.

22. Use of Artificial Intelligence (AI)

Wayout Design may use Artificial Intelligence (AI) assisted tools during research, ideation, coding assistance, workflow automation, content generation or design support where appropriate. Final deliverables are reviewed and approved by our team before delivery.

23. Third-Party Software & Licenses

Certain projects may involve third-party software, plugins, APIs, hosting platforms, stock photographs, fonts or licensed digital assets.
  • Such products remain governed by their respective license agreements.
  • License renewal fees, subscription charges or usage restrictions imposed by third parties shall remain the responsibility of the client unless specifically included in the quotation.

24. Limitation of Liability

To the fullest extent permitted under applicable law, Wayout Design shall not be liable for indirect, incidental, consequential, special, punitive or exemplary damages, including but not limited to loss of profits, business interruption, data loss, goodwill or anticipated savings. Our total liability shall never exceed the amount actually paid by the client for the specific product or service giving rise to the claim.

25. Indemnification

The client agrees to defend, indemnify and hold harmless Wayout Design, its owners, employees, associates and partners against any claims, damages, liabilities, penalties, legal costs or expenses arising from:
  • Customer supplied content;
  • Copyright infringement;
  • Trademark disputes;
  • Privacy violations;
  • Illegal or misleading content;
  • Violation of applicable laws by the client.

26. Force Majeure

Wayout Design shall not be liable for delay or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, floods, earthquakes, fire, pandemics, cyber incidents, internet outages, transportation disruptions, government restrictions, customs delays, labour disputes, power failures, war, terrorism or shortages of materials.

27. Fraud Prevention & Right to Refuse Service

  • Wayout Design reserves the right to refuse, suspend or cancel any order that appears fraudulent, unlawful or suspicious.
  • Identity verification may be requested before commencing work.
  • We reserve the right to discontinue services where customers engage in abusive behaviour, non-payment, harassment, unlawful requests or violation of these Terms.

28. Severability

If any provision of these Terms & Conditions is found to be invalid, illegal or unenforceable by a competent court, the remaining provisions shall continue to remain valid and enforceable.

29. No Waiver

Failure by Wayout Design to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available under applicable law.

30. Changes to these Terms

Wayout Design reserves the right to modify, update or replace these Terms & Conditions at any time without prior notice. The latest version published on our website shall apply to all future transactions.

31. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Republic of India. Any dispute arising from the use of our website, products or services shall first be attempted to be resolved amicably between the parties. If such dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts located in Jaipur, Rajasthan, India, irrespective of the customer’s place of residence or country of business.
